Legal Agreement

These Terms and Conditions constitute a legally binding agreement between you and Sumvane. By accessing this website or engaging our services, you confirm that you have read, understood, and agree to these terms in full.

These terms govern all interactions with this website and all services provided by Sumvane. They should be read alongside our Privacy Policy and Terms of Service, which form part of the overall legal framework governing your use of our services.

1. User Obligations

Conduct Requirements

You agree to engage with Sumvane in good faith and to provide complete, honest, and accurate information throughout any service engagement. Deliberately misleading or withholding material information that affects the accuracy of the work product is a breach of these terms.

Prohibited Activities

  • Engaging our services for any purpose that violates applicable law or regulation
  • Interfering with or disrupting the operation of this website or its underlying infrastructure
  • Attempting to gain unauthorised access to any system, account, or data
  • Impersonating another person or entity in connection with use of this website or our services
  • Uploading or transmitting malicious code or content through any communication channel with Sumvane

Age Requirements

Use of this website and engagement of our services is limited to individuals who are at least 18 years of age or the age of majority in their jurisdiction, whichever is higher. Businesses may engage our services through an authorised representative who meets this requirement.

Compliance with Laws

You are responsible for ensuring that your use of our services complies with all laws and regulations applicable in your jurisdiction. Sumvane provides accounting and record-keeping support — it does not provide legal advice, and the reports we produce do not constitute legal or tax advice specific to your situation.

2. User Responsibilities

Indemnification

You agree to indemnify and hold harmless Sumvane, its principals, and any associated contractors from any claims, losses, damages, or expenses — including reasonable legal fees — arising from your breach of these terms, your misuse of our services, or any inaccuracy in data you provided that resulted in errors in the work product.

Data Accuracy

The accuracy and completeness of accounting deliverables depends directly on the quality of the source data you provide. You accept responsibility for reviewing all deliverables for accuracy and for raising any discrepancies within a reasonable time after delivery.

Professional Advice

Sumvane's services are accounting and record-keeping in nature. The schedules, reports, and calculations we provide are intended to support — not replace — the work of a qualified tax professional. You are responsible for engaging appropriate professional advice and for decisions made based on the records we produce.

Third-Party Interactions

Any dealings you have with third parties — including exchanges, custodians, or tax professionals — in connection with records we produce are solely between you and those parties. Sumvane is not a party to those relationships and accepts no liability for them.

3. Disclaimers and Limitations

Disclaimer of Warranties

This website and its content are provided on an "as is" basis. Sumvane makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any content on this site. We do not warrant that the site will be free from errors or interruptions.

Limitation of Liability

To the maximum extent permitted by applicable law, Sumvane's liability for any claim arising from use of this website or our services is limited to the fees paid by you for the specific service engagement from which the claim arises. This limitation applies regardless of the legal basis of the claim.

Consequential Damages

In no event shall Sumvane be liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or opportunity — even if advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain types of damages; in those cases, our liability is limited to the fullest extent permitted.

Force Majeure

Sumvane is not liable for delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to natural events, utility failures, third-party platform outages, or changes in applicable law that materially affect our ability to deliver services as agreed.

4. Legal Framework

Governing Law

These terms are governed by and construed in accordance with applicable law. For cross-border engagements, the governing law applicable to a specific service agreement will be set out in the engagement confirmation.

Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If negotiation does not resolve the matter within 30 days, either party may seek resolution through the appropriate legal channels in the applicable jurisdiction.

Severability

If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions continue in full effect.

Amendments

Sumvane reserves the right to revise these terms at any time. Revised terms become effective when posted to this page. For service clients, material changes to terms that affect existing engagements will be communicated directly before taking effect. Questions about these terms can be directed to us via our contact page.
